Jeffrey's practice focuses on “C” corporation, “S” corporation, partnership, and individual tax planning and compliance. His clients include closely held, venture backed, and publicly traded companies in a wide variety of industries, including; manufacturing, wholesale/distribution, retail, service, real estate, biotech and software.
Jeffrey advises clients in all aspects of federal, state, and international tax planning for business transactions and operations, including tax planning and strategies related to choice of entity, raising capital, and the income, sales/use, and franchise tax issues resulting from the client’s expansion into new states and foreign markets.
Jeffrey provides proactive tax planning advice for taxable and tax deferred mergers, acquisitions, reorganizations, and the disposition of business enterprises. He provides buyer and seller due diligence consulting services, including analyzing the impact of an ownership change on the utilization of corporate tax attributes, such as net operating losses and tax credits.
